Terms of Sale:

a. Export Level:

1. Terms of pmt:  by LC at sight 5% discount, LC 30 days 3% discount, LC 60 days, (40% swift pmt upon order confirmation - 60% pmt before loading container) - 3% discount.

2.  Minimum order Qty:  export carton qty accepted - maximum 50 items assorted per container

3. Packing: Repacking under customer's special requirement is accpeted for full 1x40 container orders

4. Quality Inspection: before each shipment and loading for each order.

5. Prices Quoted: EXW, FOB, CIF, C&F in USD or Euro upon customers request

b. Wholesale/Distribution Level:

1. First time approved credit rate customers 30% pmt in advance upon order confirmation, 70% pmt before delivering order.

2. Long term approved credit customers: 

Monthly sales turnover   > USD 10,000 open account 30 days credit - extra discount 2%

Monthly sales turnover > USD 20,000 open account 60  days credit - extra discount 3%

Montly sales turnover  > USD 30,000 open account 75  days credit  - extra discount 5%

3. Deliveries can be made to the customers' central warehouse or distributed directly to the customers' several points of sale,  and products ordered can be placed on their assigned shelf space by our  merchandising team.

4. During "discount sales season", several products are offered on deep discount prices and placed on the customer's point of sales on a consignment basis.

5. All products have european barcode number.

6. Customers'  Desired retail prices can be placed on the ordered products in our central warehouses before delivery.

General Terms of Sale:

1. SHIPMENT: goods travel at the buyer's risk even when they are consigned "carriage paid" or ex destination.  No responsibility attaches to the seller for the damages the goods might suffer once the have left the seller's factory or warehouse.  Consequently, the buyer is bound to safeguard his own interests towards the carrier according to the i law.

2. DELIVERIES:  the days allowed for delivery are understood as working days.  In any case, delivery dates are approximate and subject to any circumstances that may preclude, hamper or delay the regular supply and production process and consequently the delivery of goods.

3. GUARANTEES: the seller warrants that the supplied goods are up to the specifications as agreed.  Quality inspection for every item will be performed before each shipment or loading procceed.

4. CLAIMS: the buyer should check the goods immediately after their arrival, before using them or altering them in any way.  Any claims must be forwarded in writing within eight days from the arrival of goods in case of visible defects, and, in case of hidden effects, within eight days from when they were found.  The right to claim will in any case lapse 30 days after receipt of goods.

5. PAYMENT: pmt must be made to the office that issued the invoice and under the conditions mentioned in the invoice.  Any acceptance of pmts made in whatever form - effected elsewhere will not constitute a diminution of this principle.  Once the expiry date specified in the conditions of pmt has elapsed, current bank charges will be applicable and the invoice is send to a collection agency.

6. TERMINATION: Should the price or instalments not be paid on maturity, or should the buyer fail to meet any obligations assumed under the contract, the seller shall be entitled to regard the contract as annulled by default of the buyer.  If a change arising in the buyer's financial position jeopardizes the pmt of the price of the sold goods, the seller can make the cinsignment of goods subject to the buyer's providing guarantees or ask for contract termination.

7. CHANGES: terms offered are subject to review by the seller. In case of orders to be executed aginst divided deliveries, these general terms of sale are likewise subject to review unless otherwise stated in the offer.  Any changes and or additions to the seller's terms of sale shall be approved in writting.

8. DISPUTES: for any disputes which may arise, the Fermo Lawcourt is the only court having jusrisdiction.  It is understood that these general terms of sale shall be accepted by the buyer in all respects and the buyer himself shall renounce his own purchasing conditions, if any, whether considered individually or as a whole.
